1. Introduction
Welcome to TopWork. These Terms and Conditions ("Terms") govern your use of our platform. By accessing or using our platform, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our platform.
2. Use of the Platform
You agree to use the platform in accordance with these Terms, and in compliance with all applicable laws and regulations. You must not use the platform: • For any unlawful purpose • To solicit others to perform or participate in any unlawful acts • To violate any regulations, rules, laws, or local ordinances • To infringe upon or violate our intellectual property rights or the intellectual property rights of others
3. Responsibility for Transactions
TopWork serves as a platform connecting clients and service providers/freelancers. We are not responsible for any deal, connection, or business transaction between a client and a service provider/freelancer registered on TopWork. Any agreement, negotiation, or transaction is solely between the two parties involved. We do not guarantee the quality, safety, or legality of services provided by freelancers, nor the ability of clients to pay for services rendered.
4. Intellectual Property
The platform and its original content, features, and functionality are owned by TopWork and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
5. User-Generated Content
If you submit, post, or display content on or through the platform, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such content for the purpose of operating and providing the platform. You are solely responsible for the content you submit.
6. Paid Services
Initially, TopWork does not provide paid services to hire freelancers or sell work on the platform. However, we may introduce financial plans or paid services in the future. We reserve the right to implement these changes at our discretion and will provide notice of any changes to our services and associated fees.
7. Termination
We reserve the right to terminate or suspend access to our platform, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.
8. Limitation of Liability
In no event shall TopWork, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your use of or inability to use the platform; (ii) any unauthorized access to or use of our servers and/or any personal information stored therein; (iii) any interruption or cessation of transmission to or from the platform.
9. Indemnification
You agree to indemnify and hold harmless TopWork and its affiliates, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses, including attorney's fees and costs, arising out of or in any way connected with your access to or use of the platform.
10. Governing Law
These Terms shall be governed and construed in accordance with the laws of Sri Lanka, without regard to its conflict of law provisions.
11. Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
